The merger between the dry bulk shipping company Golden Ocean and the Belgian maritime group CMB. Tech is on track to be finalised as soon as possible after a special general meeting set for August 19, 2025. This meeting will be hosted by Golden Ocean, which is traded on the New York Stock Exchange, reports Lloyd’s List.
CMB.Tech Acquired Stake from Fredriksen
CMB. Tech kicked off its acquisition of Golden Ocean shares back in March 2025, when it bought John Fredriksen’s stake for a whopping $1.2 billion. The Saverys-owned company kept the momentum going by purchasing more shares, ultimately sealing a share-for-share merger agreement in April 2025. According to this deal, Golden Ocean shareholders will receive 0.95 shares of CMB. Tech for each Golden Ocean share they hold.
Tentative Completion Date Set for August 20
Golden Ocean has announced that the merger is anticipated to wrap up on August 20, 2025, “assuming timely fulfilment of the relevant closing conditions.” This date could also “tentatively” mark the first day of CMB.Tech trading on the Oslo Bors.
Share Exchange Details Based on Listing
Golden Ocean also clarified that shareholders of Golden Ocean stock trading on Nasdaq will receive CMB. Tech shares that are listed on the NYSE, while those holding Golden Ocean shares on Oslo Bors will get CMB. Tech shares are on the same exchange.
